1. Acceptance of Terms
By accessing or using the services of Transmedia Nexus Pvt. Ltd. ("TMN"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
TMN provides integrated media, advertising, and brand communication services including but not limited to: OOH advertising, digital marketing, PR, television advertising, OTT promotions, events management, brand strategy, and corporate communications.
The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
3. Client Responsibilities
Clients agree to:
- Provide accurate briefs, content, and approvals in a timely manner
- Ensure all provided materials (logos, images, copy) are owned or licensed
- Comply with applicable advertising laws and regulations
- Make payments as per agreed schedules
4. Intellectual Property
All creative work, strategies, and deliverables produced by TMN remain the intellectual property of TMN until full payment is received, at which point ownership transfers to the client as agreed in the SOW.
TMN retains the right to feature completed work in its portfolio unless the client requests confidentiality in writing.
5. Payment Terms
Invoices are due within 30 days of issuance unless otherwise agreed. Late payments may incur interest charges. TMN reserves the right to pause services for accounts with outstanding payments beyond 60 days.
6. Limitation of Liability
TMN's liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. TMN is not liable for indirect, incidental, or consequential damages.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services for a period of 2 years.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
